SSM's Proposed Sustainability Reporting Amendments

Effective Date: In Planning & Consultation Stage

The Companies Commission of Malaysia (SSM) has issued a Consultative Document proposing amendments to the Companies Act 2016 to introduce a formal sustainability reporting framework for non-listed companies (NLCos). While not yet law, this proposal signals the future direction of corporate reporting in Malaysia — and deserves the immediate attention of directors, accountants, business owners and management teams.
The objective is to improve transparency, accountability and comparability of sustainability-related informationdisclosed by companies — driven by growing demands from investors, regulators, banks and customers for ESG clarity.

Impact on Companies, Accountants & SMEs

If implemented, larger companies will be brought into the framework first, with medium-sized companies following in later phases. The changes will require significant organisational transformation well beyond traditional financial reporting processes.

Perhaps the biggest challenge lies with the accounting profession. Most accountants are trained in revenue, expenses, assets and taxation — not carbon emissions, energy usage or climate risks. Significant upskilling will be required across the profession.

What Should Companies Do Now?

Sustainability reporting is rapidly moving from a voluntary best practice to a future compliance requirement. Companies that begin building ESG knowledge, governance structures and reporting capabilities today will be significantly better prepared when mandatory requirements eventually arrive.
This phased approach allows organisations to build capability progressively rather than face a compliance scramble when legislation is enacted.
